Terms & Conditions — Zackgo Reports

Summary: By using Zackgo Reports you agree to these terms. You own your data; we process it to deliver reports. Subscriptions renew monthly. AI provides recommendations only — business decisions are yours. Either party may terminate per the terms below.

1. Agreement & Parties

These Terms & Conditions ("Terms") constitute a binding agreement between Zackgo Enterprises ("Zackgo", "we", "us"), operating the Zackgo Reports platform ("Service"), and the entity or individual registering for or using the Service ("Customer", "you").

Product: Zackgo Reports by Zackgo Enterprises.

By creating an account, completing payment, or using the Service, you confirm you have authority to bind your organisation and accept these Terms.

2. Service Description

Zackgo Reports provides AI-powered operational intelligence, including:

Executive dashboard for viewing AI-generated business intelligence reports
Clerk dashboard for submitting operational workbooks (CSV, XLSX, XLS)
Weekly and monthly report generation subject to data availability and plan limits
Pro features including AI Copilot, predictive intelligence, and board summaries (where plan permits)
Billing, invoicing, and workspace management tools

Feature availability depends on your subscription plan and workspace activation status.

3. Accounts & Access

You are responsible for maintaining confidentiality of login credentials.
Each user must have an individual account. Credential sharing is prohibited.
You must provide accurate registration information and keep it current.
We may suspend access for compromised credentials, policy violations, or non-payment.
Enterprise accounts may have additional users and roles as defined in your enterprise agreement.

4. Subscriptions & Pricing

Starter: ₹4,999 per month (exclusive of applicable taxes)
Pro: ₹14,999 per month (exclusive of applicable taxes)
Enterprise: Custom pricing per written agreement — not available via self-checkout

Prices may be updated with at least 30 days' notice to active subscribers. Continued use after the effective date constitutes acceptance of revised pricing for subsequent billing cycles.

5. Payments & Renewals

Subscriptions are billed monthly in advance unless otherwise agreed in writing.
Payment is processed through Razorpay or other designated payment providers.
Failed payments may result in workspace suspension after reasonable notice.
Subscriptions renew automatically each billing cycle until cancelled.
GST-compliant invoices are available when valid GSTIN is provided. See Refund Policy.
Billing disputes must be raised within 7 days of invoice date via contact@zackgo.com or WhatsApp at +91 91156 96315.

6. Cancellations & Refunds

You may cancel your subscription from the Billing Center. Cancellation takes effect at the end of the current paid billing period unless otherwise stated. Refund eligibility is governed exclusively by our Refund & Cancellation Policy.

7. Your Data & License

Customer ownership: You retain all rights to business data you upload ("Customer Data").
Limited license: You grant Zackgo a non-exclusive, limited license to process Customer Data solely to provide the Service, including AI analysis, report generation, storage, and delivery.
No training on your data: We do not use Customer Data to train AI models for other customers or third-party purposes.
Your responsibility: You warrant you have the legal right to upload Customer Data and that its processing under these Terms complies with applicable law.

8. AI Limitations

The Service uses artificial intelligence through Zackgo AI Beta and related automation to analyse operational data and generate reports and recommendations. A subset of automated responses may be fulfilled through established industrial-grade API partners under Zackgo's security and privacy controls. You acknowledge and agree:

AI outputs are recommendations and analytical assistance — not professional advice, audits, or guaranteed conclusions.
Zackgo does not guarantee accuracy, completeness, error-free operation, or specific business outcomes including profit or growth.
Business decisions based on AI-generated content remain solely your responsibility.
You should independently verify material figures before taking significant action.

9. Acceptable Use

You agree not to misuse the Service. Prohibited activities include those listed in our Acceptable Use Policy, including:

Uploading data without legal authority
Attempting to access another customer's workspace
Reverse engineering, copying, or reselling the platform
Introducing malware or conducting unauthorised security testing
Using the Service for unlawful purposes

10. Intellectual Property

Zackgo owns the Service, software, trademarks, logos, report templates, and platform technology. You receive a limited licence to use AI-generated reports for your internal business purposes. See Intellectual Property.

11. Service Availability

We endeavour to maintain reliable service but do not guarantee uninterrupted or error-free availability. Scheduled maintenance, third-party outages, or events beyond our reasonable control may cause temporary disruption. We are not liable for downtime except as expressly stated in an Enterprise SLA.

12. Confidential Information

Each party agrees to protect the other's confidential information with reasonable care and use it only for purposes of the Service relationship. Zackgo treats Customer Data as confidential subject to our privacy and security policies.

13. Limitation of Liability

To the maximum extent permitted by applicable law:

The Service is provided "as is" without warranties of merchantability, fitness for a particular purpose, or non-infringement.
Zackgo's total aggregate liability for claims arising from the Service in any 12-month period is limited to the fees paid by you in that period.
Zackgo is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, revenue, or business opportunities.
Nothing in these Terms limits liability for fraud, wilful misconduct, or liabilities that cannot be excluded under Indian law.

14. Indemnification

You agree to indemnify and hold Zackgo harmless from claims, damages, and expenses arising from: (a) your Customer Data or its upload without proper authority; (b) your violation of these Terms or applicable law; (c) your misuse of AI outputs or business decisions based on reports.

15. Suspension & Termination

By you: Cancel subscription per Section 6. Enterprise termination per your agreement.
By Zackgo: We may suspend or terminate immediately for material breach, non-payment, security risk, or legal requirement.
Effect: Upon termination, access is revoked. Data deletion and export are handled per our retention policy. You may request export before deletion where feasible.

16. Governing Law & Disputes

These Terms are governed by the laws of India. Courts in India shall have exclusive jurisdiction, subject to any mandatory arbitration clause in an Enterprise agreement.

Before formal proceedings, parties agree to attempt good-faith resolution by contacting contact@zackgo.com within 30 days of the dispute arising.
