1. Definitions
- Customer / Controller: The entity subscribing to Zackgo Reports.
- Zackgo / Processor: Zackgo Enterprises, processing data on Customer's instructions.
- Customer Data: Personal and business data uploaded or generated in your workspace.
- Subprocessor: Third party engaged by Zackgo to assist in delivering the Service (cloud infrastructure, hosting, intelligence processing, payment, messaging, and related categories).
2. Scope & Instructions
Zackgo processes Customer Data only to provide the Service as described in the Terms and Privacy Policy, and as configured in your workspace. Processing includes storage, AI analysis, report generation, delivery, backup, and support.
3. Processor Obligations
Zackgo shall:
- Process Customer Data only on documented instructions from Customer (including these terms).
- Ensure personnel with access are bound by confidentiality.
- Implement appropriate technical and organisational security measures per Security Policy.
- Assist Customer with data subject requests where feasible.
- Notify Customer of confirmed personal data breaches without undue delay.
- Delete or return Customer Data per Data Retention Policy upon termination, subject to legal retention.
4. Subprocessors
Customer authorises Zackgo to engage subprocessors listed in the Privacy Policy. Zackgo remains responsible for subprocessor performance. Enterprise customers may request prior notice of subprocessor changes.
5. International Transfers
Where data is transferred outside India, Zackgo implements appropriate safeguards including standard contractual protections with subprocessors.
6. Audits
Enterprise customers may request security documentation or audit summaries subject to confidentiality. Onsite audits may be arranged under Enterprise agreements with reasonable notice and scope limitations.
7. Customer Obligations
- Ensure lawful basis for uploading and processing Customer Data.
- Provide accurate instructions and configuration.
- Inform Zackgo of restrictions required by applicable law.
8. Term
This DPA applies for the duration of the Service agreement and survives termination for obligations regarding data deletion and confidentiality.
